These Terms are drafted in English and may be translated for convenience. In case of any discrepancy, the English version controls, except that mandatory consumer protections of your country of residence prevail where required by law.
1) Acceptance of Terms
By accessing or using pdf.ceo, its related websites, apps, or extensions (collectively, the Service), you agree to be bound by these Terms of Service (the Terms) and the documents incorporated by reference: our Privacy Policy, Cookie Policy, and DMCA/Notice & Takedown Policy (if applicable). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2) Regulations under Polish Law (Information Duty)
These Terms also constitute the "Regulations for the Provision of Electronic Services" within the meaning of the Polish Act of 18 July 2002 on the provision of services by electronic means and specify:
- the types and scope of the Services (Section 3),
- the conditions for providing the Services, including technical requirements and prohibitions on supplying unlawful content (Sections 3, 7 and 8), and
- the complaint procedure (reklamacje) (Section 16).
3) The Service; Features; Technical Requirements
3.1 Client‑side processing
The Service is designed to process PDF files locally in your web browser (or device). Unless expressly stated for a specific feature, we do not upload or store the contents of your PDF files on our servers. You are solely responsible for backing up your documents and for any loss or corruption of data on your device.
3.2 Functions
Tools may include: view, edit, annotate, merge, split, reorder, compress, convert, and sign PDFs, and other utilities we may add or remove at any time.
3.3 Advertising
To keep the Service free, we may display advertising. Ad scripts are served from third parties in isolated frames and have no access to your documents. In certain regions (e.g., EEA/UK/CH) we use consent mechanisms and may show non‑personalized ads if you decline consent. See our Privacy and Cookie Policies for details.
3.4 Availability; updates
We may change, suspend, or discontinue the Service (or any part of it) at any time without notice. We do not guarantee uptime or that features will remain available.
3.5 Technical requirements
A modern browser and internet connection are required to load the app and, where applicable, ads or remote libraries. Offline functionality may be limited. You are responsible for meeting device and network requirements.
3.6 Accounts
Most features do not require an account. If an account is offered, you must provide accurate information, keep credentials secure, and are responsible for activity under your account.
4) Eligibility
You must be at least 13 years old (or the minimum age required by your local law to enter into online service agreements) to use the Service. If you are under the age where you can legally enter into contracts, you must have your parent or legal guardian's permission.
5) User Content and Rights
5.1 You own your files
You retain all rights to documents and other content you process with the Service (User Content). We do not claim ownership of your User Content.
5.2 Local operation by default
Because processing is local, you grant us no license to your file contents. If any optional cloud feature is introduced (e.g., sync/share you explicitly opt into), you grant us a limited license to host, process, and transmit solely to provide that feature. Such features will be clearly identified in the interface.
5.3 Feedback
You grant us a perpetual, irrevocable, transferable, sublicensable, worldwide, royalty‑free license to use ideas and suggestions you submit to improve the Service.
6) Acceptable Use
You agree not to:
- use the Service in violation of law or regulation;
- infringe intellectual property, privacy, publicity, or other rights;
- process content you do not have the rights to use;
- upload, share, or attempt to transmit unlawful content through any hosted feature (if offered);
- attempt to access data or systems without authorization; probe, scan, or test vulnerabilities; or interfere with security or integrity;
- reverse engineer, decompile, or attempt to derive source code except to the extent such restriction is prohibited by law;
- use robots, scrapers, or similar data‑gathering tools except through documented interfaces;
- inject malware or code that interferes with the Service or its users;
- circumvent limitations, quotas, or access controls; or
- use the Service for life‑critical/safety‑critical purposes.
7) Third‑Party Services; Open Source; Advertising
7.1 Third parties
The Service may link to or integrate third‑party sites, SDKs, libraries, ad networks, and analytics providers. We do not control and are not responsible for third‑party content, policies, or practices. Your interactions with third parties are solely between you and them.
7.2 Open‑source components
The Service may include or depend on third‑party open‑source components subject to their own licenses. Copies of applicable licenses are included in our builds or available on request.
7.3 Ads
Ads are provided "as available." We do not endorse advertised products or services. Your ad choices and consent preferences are handled via our consent tools.
8) Intellectual Property
The Service, including software, UI, text, graphics, logos, and trademarks, is owned by us or our licensors and protected by applicable laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service.
9) Digital Services; Consumer Information (EU/PL)
9.1 No data as consideration for core features
Core PDF features run locally and do not require you to provide personal data. Optional analytics/advertising that rely on personal data beyond what is strictly necessary are subject to your consent. These Terms do not limit any mandatory consumer rights under EU/Polish law.
9.2 DSA statement (transparency)
We prohibit using the Service to upload or process unlawful content where such uploading/processing would be transmitted or hosted by our systems. If we introduce any hosting/sharing feature, our content moderation rules and complaint handling will be described in an updated policy.
10) Changes to the Service or Terms
We may update the Service and these Terms. If changes are material, we will take reasonable steps to notify you (e.g., by posting on the site). Updated Terms are effective when posted unless stated otherwise. Your continued use after effectiveness constitutes acceptance.
11) Warranty Disclaimer
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the Service will be uninterrupted, error‑free, secure, or that it will meet your requirements, nor that defects will be corrected. You use the Service at your own risk and are solely responsible for damage to your device or loss of data.
12) Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, business interruption, or replacement services, arising out of or relating to your use of or inability to use the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for all claims relating to the Service is limited to the greater of (a) USD 50 and (b) the amount you paid us, if any, for the Service during the twelve (12) months before the event giving rise to liability. Some jurisdictions do not allow certain limitations; where prohibited, the limitations apply only to the extent permitted.
13) Indemnification
You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third‑party rights.
14) Export Controls; Sanctions; Compliance
You represent you are not located in, under control of, or a national/resident of any country or region subject to comprehensive sanctions/embargoes and that you are not a prohibited party under applicable export control/sanctions laws. You agree to comply with all such laws when using the Service.
15) Governing Law and Dispute Resolution
Because the Service is global, the framework that applies to you depends on your country/region of residence:
15.A United States & Canada - Arbitration; Class‑Action Waiver
Governing law. These Terms are governed by the laws of the State of Delaware and the U.S. Federal Arbitration Act (FAA), without regard to conflict‑of‑laws rules.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by AAA under its rules, before a single arbitrator, in Wilmington, Delaware (or remotely, if permitted). Judgment on the award may be entered in any court of competent jurisdiction.
Class‑action/jury trial waiver. You and we agree that claims may be brought only in individual capacity and not as a class/representative action. You waive any right to a jury trial.
Opt‑out. You may opt out of arbitration within 30 days of first agreeing to these Terms by sending written notice to legal@pdf.ceo or PDF.CEO Legal Dept, ul. Konstancińska 2, U22, 02-942 Warszawa, Poland.
15.B EEA/UK/Switzerland & Rest of World (excluding US/CA) - Courts
Governing law. These Terms are governed by the laws of Poland without regard to conflict‑of‑laws rules.
Venue. Courts of Warsaw, Poland have non‑exclusive jurisdiction; however, if you are a consumer, you may bring claims in the courts of your habitual residence where required by mandatory law. Mandatory consumer protections of your country of residence apply where required.
ADR/ODR. We do not commit to ADR unless required by mandatory law. (The former EU ODR platform has been discontinued; no new complaints are accepted.)
16) Complaints (Reklamacje) - Poland/EU Information
16.1 How to complain
Complaints regarding the electronic Services may be submitted by e‑mail to legal@pdf.ceo or via our web form. Please include your contact information and a description of the issue.
16.2 Response time
We will respond within 14 days of receiving your complaint. This does not affect any statutory rights you may have.
16.3 Consumer assistance (Poland)
Consumers may seek assistance from municipal or district consumer ombudsmen in Poland.
17) Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately, with or without notice, if we believe you violated these Terms or if we discontinue the Service. Upon termination, provisions that by their nature should survive (e.g., 7–15, 18–22) will survive.
18) Electronic Communications and Notices
By using the Service, you consent to receive communications electronically. We may provide notices by posting on the site or by e‑mail (if provided). You are responsible for keeping your contact details current.
19) DMCA / Notice & Takedown
If you believe material accessible through the Service infringes your copyright, send a notice to dmca@pdf.ceo including: (a) your contact details; (b) identification of the copyrighted work; (c) identification of the material and location; (d) a good‑faith statement; (e) a statement under penalty of perjury that the information is accurate and you are authorized; and (f) your physical or electronic signature. We will respond as required by applicable law.
20) Children's Privacy
We do not knowingly collect personal data from children under the age where parental consent is required by law. If you believe a child provided data, contact us and we will take appropriate steps.
21) Force Majeure
We will not be liable for delay or failure to perform due to causes beyond our reasonable control, including natural disasters, labor disputes, internet failures, power outages, or actions of authorities.
22) Entire Agreement; Assignment; Severability; No Waiver
These Terms and referenced policies constitute the entire agreement between you and us regarding the Service. You may not assign or transfer these Terms without our prior written consent; we may assign them without restriction. If any provision is found unenforceable, the remainder will continue in effect, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable. Failure to enforce any provision is not a waiver.
23) Language and Translations
These Terms may be translated. In the event of a conflict between a translation and the English version, the English version controls, except that mandatory consumer protections prevail where required by law.
Annex A - Privacy & Cookies (Cross‑reference)
- Privacy Policy - describes our role as data controller for cookies/ads/analytics, lists third‑party vendors, legal bases, retention, security measures, international transfers, and your rights (including the right to lodge a complaint with the Polish supervisory authority UODO).
- Cookie Policy - categorizes cookies and similar technologies; explains consent choices; includes a persistent "Change consent" link in the footer; non‑essential cookies load only after consent; a "Reject all" option is presented as prominently as "Accept all."
